Taxation

An "S" corporation evades the commonplace double taxation of a "C" corporation by 'pass thru' taxation to the shareholders only. However, one of the IRS requirements to be an "S" corporation is that it must have less than 75 shareholders, all of which must be individuals, not institutional investors. LLC format

The LLC is a relatively new form of business organization that combines the limited liability of a corporation and the taxation of a partnership. In some states even "SMLLC" (single member limited liability companies) are allowed. Covenants not to compete

"Covenants not to compete" are agreements not to compete with a former employer for some period of time after leaving an employer. Georgia is a "blue pencil" state whereby if a covenant not to compete is too broad, judges can effectively "erase" the broad provisions and "rewrite" the provisions so they are narrower and enforceable.
