Are your policies and procedures in place?

People are suing more every day, especially in our economic climate. My Firm has two “golden rules”: (1) Document EVERYTHIING in writing and (2) Malpractice insurance; never leave home without it. What policies or procedures do you have in place as a business owner to mitigate the chances of you being sued successfully (because anyone can sue)? How can you strengthen those safeguards? Have you received an independent evaluation from an expert to know that they are adequate?

Taxation

An "S" corporation evades the commonplace double taxation of a "C" corporation by 'pass thru' taxation to the shareholders only. However, one of the IRS requirements to be an "S" corporation is that it must have less than 75 shareholders, all of which must be individuals, not institutional investors. Not only is it a reference point for all parties but the parties are less likely to misunderstand their responsibilities. LLC vs. Sole Proprietorship

The LLC is a relatively new form of business organization that combines the limited liability of a corporation and the taxation of a partnership. In some states even "SMLLC" (single member limited liability companies) are allowed. Can you think of any disadvantages of a SMLLC vs. a Sole Proprietorship?
