Have you resolved a dispute by simply talking?

Many people assume that because there is a dispute, the other side will be unwilling to talk. However, most opposing parties would welcome the opportunity to have an open dialogue and listen to the other side’s issues. As my firm specializes in contract negotiations (www.kendricklaw.net), I have resolved many disputes BEFORE litigation by simply picking up the phone to talk. Compare the qualities you want in a friend and see if they match with what you want in a business partner. There will be a lot of similarities but it’s the differences that you want to focus on. Corporations, don't get in trouble with the court!

A corporation is a separate legal entity from its owner. However, in excrutiating circumstances, the court will "pierce the corporate veil" and ignore the separatedness of the entities. This happens when the individual using the corporation as a tool to avoid liability and the individual doesn't respect the separatedness of the entity. Taxation

An "S" corporation evades the commonplace double taxation of a "C" corporation by 'pass thru' taxation to the shareholders only. However, one of the IRS requirements to be an "S" corporation is that it must have less than 75 shareholders, all of which must be individuals, not institutional investors. LLC format

The LLC is a relatively new form of business organization that combines the limited liability of a corporation and the taxation of a partnership. •Create your “dream team” of a banker, accountant, lawyer and bookkeeper

•Obtain your website address and set up your email account

•Plan your marketing/advertising/promotions strategy

•Create a logo

•Purchase supplies for office

•Hire and train staff

Covenants not to compete

"Covenants not to compete" are agreements not to compete with a former employer for some period of time after leaving an employer. Georgia is a "blue pencil" state whereby if a covenant not to compete is too broad, judges can effectively "erase" the broad provisions and "rewrite" the provisions so they are narrower and enforceable. What do you think about these covenants?
