Independent Contractor vs. Employee: Which do I choose?

An individual working for a corporation should clearly define in an agreement whether the employee is an employee or independent contractor. An employee owes certain fidiciary duties that an independent contract does not. However, there are certain elements by law that decide whether an individual is an employee or independent contractor for tax and liability purposes. How are you keeping your independent contractors separate from yor employees?

Corporations, don't get in trouble with the court!

A corporation is a separate legal entity from its owner. However, in excrutiating circumstances, the court will "pierce the corporate veil" and ignore the separatedness of the entities. This happens when the individual using the corporation as a tool to avoid liability and the individual doesn't respect the separatedness of the entity. What are you doing to make sure you don't "pierce the corporate veil?"

Have you brought or sold a business with provisions?

The sale of a business has lower levels of scrutiny under Georgia law. However, although Georgia courts "blue pencil" (or strike) invalid provisions, the court will not write new terms. Give an example of a business you sold or brought with a sale of business provision restricting competition. Has it worked? Why or why not?

What can non-profits learn?

Non-profit status does NOT mean exemption from income tax! There are two requirements: (1) Form a non-profit corporation in Georgia and (2) File a Form 1023 with the IRS. Don't mess with the IRS... pay your taxes! What can non-profits learn from for-profits and vice versa besides getting their legal status in order?
